BLUE BIRD CORPORATION TO BE ACQUIRED


"FORT VALLEY, GA (August 25, 2006) -Blue Bird Corporation announced
today the signing of a definitive agreement to be acquired by an
affiliate of Cerberus Capital Management, L.P. Terms of the
transaction were not disclosed.

Jeffry Bust, President and Chief Executive Officer of Blue Bird
said, "The acquisition is a significant step forward ensuring Blue
Bird will remain one of the world's leading school and commercial
bus manufacturers. The acquisition also provides financial stability
for our distributors, suppliers and employees."

The proposed transaction is expected to close in September. Kroll
Zolfo Cooper, LLC served as the exclusive financial advisor to Blue
Bird in connection with the transaction."

Pete Masterson

One of the subsidiaries of Cerberus Capital is North American Bus
Industries with subsidiary Optima Bus Corporation, both manufacture
transit busses. So there is some potential 'synergy' available. No RV
experience, but the Optima subsidiary makes an "old time" street car-
bus for tourist areas.

Cerberus Capital Management's investment strategy is to keep
companies from flaming out. Holdings include a 49% stake in Japanese
bank Aozora, US tech firm SSA Global Technologies, and cable operator
Galaxy Cable. The firm often injects capital into retail ventures --
extinct music retailer Wherehouse Entertainment was a former
investment, as was beleaguered fashion house Esprit de Corp (now
known as Esprit Holdings). More recently, subsidiary Riley Property
acquired real estate services firm LNR Property, and Cerberus paid
about $2.3 billion for MeadWestvaco's paper business, forming NewPage
Corporation.
